1. Agreement to Terms

These Terms of Service (”Terms”) constitute a legally binding agreement between you (”User”, “you”) and STRATAVUE LTD (”Company”, “we”, “us”), a company registered in England and Wales (Company Number: 17219333), with its principal place of business at 5 Brayford Square, London, E1 0SG, United Kingdom. By accessing or using Vigil (”the Platform”) at getvigil.co, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Description of Service

Vigil is an AI-powered strategic execution and leadership visibility platform that enables users to track business commitments, manage content calendars, create and publish social media content, retrieve and display engagement analytics, generate AI-powered strategic insights, and manage team collaboration within workspaces. The Platform includes integrations with third-party services including LinkedIn for content publishing and performance analytics.

3. Account Registration and Security

To use Vigil, you must create an account via our authentication system. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Workspace Model and Data Governance

Vigil operates on a workspace-based architecture. Each workspace is owned by a single user (the “Workspace Owner”) who controls all data, permissions, and integrations within that workspace. Workspace Owners may invite other users as delegates or viewers with defined permission levels. All content created within a workspace belongs to the workspace, controlled by the Workspace Owner.

Workspaces are fully independent. Data does not transfer between workspaces. Delegates and viewers operate on behalf of the Workspace Owner and do not independently own data they create within the workspace.

5. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Platform to publish content that is defamatory, obscene, fraudulent, or in violation of any applicable law

  • Attempt to gain unauthorized access to the Platform, other user accounts, or connected third-party services

  • Use the Platform to send spam, unsolicited messages, or automated bulk content through connected social media accounts

  • Reverse engineer, decompile, or disassemble any part of the Platform

  • Use the Platform in any way that could damage, disable, or impair the service or interfere with other users

  • Violate the terms of service of any third-party platform connected through Vigil, including LinkedIn’s Professional Community Policies

  • Use LinkedIn data obtained through Vigil for advertising, sales prospecting, recruiting, or any purpose other than the Platform’s intended analytics and publishing features

  • Attempt to re-identify anonymized or aggregated data, or combine LinkedIn data with external data sources for profiling purposes

6. Content Ownership and Licensing

You retain full ownership of all content you create, upload, or publish through the Platform, including text, images, documents, and business data (”User Content”). By using the Platform, you grant us a limited, non-exclusive license to store, process, and display your User Content solely for the purpose of providing the Platform’s services to you. This license terminates when you delete your content or your account.

We do not claim ownership of your User Content. We do not use your User Content for advertising, marketing, or any purpose other than providing the Platform’s services.

7. LinkedIn Integration and Data Usage

Vigil integrates with LinkedIn through LinkedIn’s official APIs to provide content publishing and performance analytics features. By connecting your LinkedIn account to Vigil, you acknowledge and agree to the following:

7.1 Scope of Access

When you connect your LinkedIn account, you grant Vigil permission to access your LinkedIn data within the scope of permissions you explicitly approve during the OAuth authorization process. This may include:

  • Your LinkedIn profile information (name, headline, profile picture URL, member identifier)

  • Publishing content (text posts and images) to your personal LinkedIn profile on your behalf

  • Retrieving engagement metrics for posts published through Vigil (impressions, reactions, comments, shares, click-through data)

  • If you are a Company Page administrator and grant organization-level permissions: accessing company page posts, page analytics, follower counts, and page metadata

7.2 Content Publishing

Vigil publishes content to LinkedIn only when you explicitly approve and trigger publication. We do not publish content automatically without your authorization. You are solely responsible for ensuring that content published through Vigil complies with LinkedIn’s Professional Community Policies, User Agreement, and all applicable laws. We do not review or moderate content before publication.

7.3 Engagement Data Collection

After you connect your LinkedIn account, Vigil periodically retrieves engagement metrics for your published content (approximately every 4 hours for recent posts, daily for older content). This automated retrieval continues for as long as your LinkedIn account remains connected. You may stop this at any time by disconnecting your LinkedIn account through the Brand Studio settings.

7.4 Company Page Access

If you are an administrator of a LinkedIn Company Page and choose to connect it to Vigil, you represent and warrant that you have the authority to grant Vigil access to that Company Page’s data. Company Page data is accessible only within your workspace and is not shared with other workspaces or users outside your workspace. You may revoke Company Page access at any time.

7.5 LinkedIn Data Restrictions

You agree that LinkedIn data accessed through Vigil:

  • Will be used only for the Platform’s intended content publishing and analytics purposes

  • Will not be exported, scraped, or transferred to external systems beyond what Vigil provides through its standard features

  • Will not be used for advertising, recruitment, sales prospecting, or profiling purposes

  • Will not be combined with data from other sources to create profiles of LinkedIn members

  • Is subject to LinkedIn’s API Terms of Use and Privacy Policy, which you remain bound by at all times

7.6 Disconnection and Data Deletion

You may disconnect your LinkedIn account at any time through the Brand Studio settings within the Platform. Upon disconnection: your encrypted access token is permanently deleted; all automated data retrieval stops immediately; scheduled posts that have not yet been published will not be sent; previously retrieved engagement metrics are retained for 90 days to allow data export, after which they are permanently deleted. You may also revoke Vigil’s access directly from your LinkedIn account settings at any time.

8. AI-Powered Features

Vigil includes AI-powered features such as the AI Strategy Advisor, content creation assistance, and automated insights. These features use artificial intelligence to analyze your data and generate recommendations. AI-generated outputs are provided as suggestions only and should not be treated as professional advice. You are responsible for reviewing and approving all AI-generated content before publication or use in business decisions.

We do not guarantee the accuracy, completeness, or suitability of AI-generated content. We are not liable for any decisions made or actions taken based on AI-generated recommendations. AI features do not access data from other workspaces or users.

9. Subscription, Cancellation, and Billing

Access to certain features of the Platform requires a paid subscription. Subscription plans, pricing, and feature availability are described on our pricing page and may change with reasonable notice. Payment processing is handled by Stripe, Inc. By subscribing, you agree to Stripe’s terms of service for payment processing.

9.1 Billing Periods

Subscriptions are available on monthly or annual billing cycles. Annual subscriptions are billed as a single upfront payment covering twelve months of service. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.

9.2 How to Cancel

You may cancel your subscription at any time through the Billing section within the Platform’s settings. No phone call, email, or manual request is required. Upon cancellation:

  • Your subscription remains active until the end of the current billing period (monthly or annual).

  • You retain full access to all paid features until the billing period ends.

  • After the billing period ends, your account reverts to the free tier (if available) or becomes read-only.

  • Your data is retained for 90 days after the subscription ends, during which you may resubscribe to restore full access or export your data.

  • After the 90-day retention period, data is handled in accordance with our Privacy Policy.

9.3 Annual Subscription Cancellation

If you cancel an annual subscription, cancellation takes effect at the end of the twelve-month billing period. You continue to have full access for the remainder of the annual term. We do not provide partial refunds for unused months within an annual billing period unless required by applicable law.

9.4 Price Changes

We may adjust subscription pricing with at least 30 days’ written notice before your next renewal date. If you do not agree to the new pricing, you may cancel your subscription before the renewal date. Continued use of the Platform after the price change takes effect constitutes acceptance of the new pricing.

10. Refund and Dispute Policy

10.1 General Refund Policy

Subscription fees are non-refundable except where required by applicable law. We do not provide pro-rata refunds for partial billing periods, including when you cancel mid-cycle or when we terminate your account for a violation of these Terms.

10.2 Exceptions

We may, at our sole discretion, issue a full or partial refund in the following circumstances:

  • You were charged in error due to a technical issue on our end.

  • The Platform experienced a material service outage lasting more than 72 consecutive hours during your billing period.

  • You request a refund within 14 days of your first-ever subscription payment and have not used the Platform’s paid features substantially.

10.3 How to Request a Refund or Dispute a Charge

To request a refund or dispute a billing charge, contact us at billing@getvigil.co within 30 days of the charge in question. Include your account email address, the date and amount of the charge, and a brief description of the issue. We will review your request and respond within 10 business days.

10.4 Chargebacks

If you dispute a charge directly with your bank or credit card provider before contacting us, we reserve the right to suspend your account until the dispute is resolved. We encourage you to contact us first so we can resolve the issue directly.

11. Intellectual Property

The Platform, including its design, code, features, documentation, and branding, is the intellectual property of STRATAVUE LTD and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Platform without our prior written consent.

12. Service Availability

We strive to maintain the Platform’s availability but do not guarantee uninterrupted or error-free service. We may perform scheduled maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to notify users of planned downtime in advance. Third-party integrations (including LinkedIn) are subject to the availability and policies of those third-party services, which are outside our control.

13. Limitation of Liability

To the maximum extent permitted by applicable law, STRATAVUE LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Platform.

Without limiting the foregoing, we are not liable for: content published to LinkedIn or other third-party platforms through the Platform; the accuracy of engagement metrics retrieved from third-party APIs; any actions taken by LinkedIn or other third-party services regarding your account; or any loss resulting from your reliance on AI-generated recommendations.

Our total aggregate liability for any claims arising from or related to these Terms or the Platform shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim, or one hundred pounds sterling (GBP 100), whichever is greater.

14. Indemnification

You agree to indemnify and hold harmless STRATAVUE LTD, its directors, officers, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: your use of the Platform; your violation of these Terms; content you publish through the Platform to third-party services; your violation of any third-party rights, including the terms of connected platforms such as LinkedIn; or your misuse of LinkedIn data accessed through the Platform.

15. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Platform if you violate these Terms, if we reasonably believe your use poses a risk to the Platform or other users, or if required to do so by a third-party service provider (including LinkedIn). Upon termination: your right to use the Platform ceases immediately; your LinkedIn access token is deleted; and your data is handled in accordance with our Privacy Policy.

16. Beta Program

If you participate in Vigil’s beta program, you acknowledge that beta features may be incomplete, contain errors, or change without notice. Beta features are provided “as is” without warranty. We may modify, suspend, or discontinue beta features at any time. Feedback you provide during the beta program may be used to improve the Platform without compensation or attribution.

17. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
